Position Title: Commercial Counsel, Corporate & Transactions

Location: New York, NY (Headquarters)

Position Summary:

The Commercial Counsel, Corporate & Transactions will have varied responsibilities, but the majority of the work will be leading the legal drafting, review and negotiating of various contracts with outside vendors and other third parties - always with a strong commercial mindset. You will support multiple business teams who are the points of contact with each vendor and develop processes to expedite contract review, improve business acumen for our teams and increase ROI. The right person for this position must be a team player with highly collaborative interpersonal skills, be inquisitive and possess commercial sensibilities when advising clients. S/he thrives in an environment with frequently shifting priorities.

Major Responsibilities / Accountabilities:

  • Support and advise multiple areas of the business, including Supply Chain, Operations and Procurement teams. Serve as legal mentor to Counsel position, particularly on U.S. Whiskey expansion.
  • Work with Counsel to oversee relationships with Company's smaller distributors (including contract negotiations) and participate in M&A transactions with a view to being the legal lead as appropriate.
  • Develop contract templates for PR USA's imports/exports business and negotiate all applicable agreements, as well as coordinate closely with Drawback team.
  • Manage oversight of Model Contract Handbook and ensure continuous updates of best practice form contracts.
  • Developing training for multiple business units

  • Nature & Scope:

  • The successful Commercial Corporate Counsel will display exceptional professional interpersonal skills and the ability to effectively interact and collaborate with attorneys, management, business colleagues and outside parties.
  • High affinity for reviewing contracts on daily basis and being able to spot and implement improvements to ways of working with various internal stakeholders.
  • Demonstrate high learning agility, curiosity to understand the commercial operations of the Company, and develop practical understanding of the various internal clients' day-to-day business and objectives.
  • Eager to take ownership of projects and help stakeholders improve efficiencies.
  • Develop a cadence of regular communication with stakeholders to anticipate business' needs.
  • Requires ability to think outside the box, conceive of creative solutions in navigating existing regulatory framework and give pragmatic advice is essential.
  • Position has a high degree of confidentiality.

  • Key Competencies:

    Education: Requires Juris Doctorate Degree. Admission to a state bar and good standing with that bar is required. Admission to the New York Bar preferred

    Experience / Background

    5+ years' corporate and/or commercial experience at a leading law firm, in-house, or a combination thereof. Strong contract drafting and negotiation skills; prior experience serving as legal lead in contract negotiations required. Previous support of procurement, supply chain or operations business unit a major plus. Past experience with alcohol beverage law or previous non-legal work experience is a plus. Ability to explain complex legal concepts in laymen's terms a plus.

    Working Conditions:

    General Office: Work is performed in a typical office environment. Limited demands for movement and lifting. Normal visual, hearing and language acuity required for correspondence and computer usage.

    Travel :

    Occasional - Estimate: 1 0-15 % of time
